Leverkusen, October 1, 2026. fm Büromöbel, the high-revenue and profitable company within the insolvent Vivonio Group, is being transferred to a new owner. Strongly positioned in the market and operationally future-proof, it is the last of several companies in the Group to be sold.
The sale to Orlando Capital
Troesser & Co., acting as Chief Restructuring Officer of the Vivonio Group, has supported the sale of all shares in fm Büromöbel GmbH to Orlando Capital GmbH. The agreements were signed on August 20, 2026; the CRO mandate ends upon closing. The transaction remains subject to antitrust clearance.
Marc Trösser has served as CRO of the Vivonio Group and of fm Büromöbel GmbH for around 2 years. On behalf of Troesser & Co., Dr. Ulrich Lammer has supported the M&A process and serves as the link between the company, the insolvency administration, and the financing banks.

Background on the Vivonio Group
The sale is rooted in the insolvency of the parent company Vivonio Furniture GmbH, headquartered in Munich, which filed for insolvency at the end of November 2024. This was triggered by persistently weak demand in the German furniture industry, as well as rising interest rates and raw material costs. Troesser & Co. had already been engaged a few weeks before the insolvency filing to steer the process professionally from the outset.
Through a series of real estate and company sales, creditors are being satisfied step by step. The largest single deal in the realization of Vivonio’s business sites was the sale of the former factory property of the insolvent Maja-Möbelwerk Treuhand GmbH & Co. KG in Wittichenau to the footwear manufacturer Birkenstock. Likewise, the sale of the operating property of Martin Staud GmbH was completed quickly and successfully following agreement with the financing banks. The operating business of Martin Staud GmbH itself was already transferred to an investor consortium last year. As part of the wind-down of the KA companies, these were sold to a foreign investor. Another transaction was the sale of the stake in Leuwico GmbH.
With the sale of fm Büromöbel, the most valuable company of the former Vivonio Group, the last and most significant piece of this multi-part wind-down process is now being successfully completed.

fm Büromöbel itself was neither insolvent nor in economic difficulty. It continued to operate independently with the approval of the financing banks and remained consistently profitable. It was not only the preservation but, more importantly, the targeted strengthening of the company through forward-looking investments that secured the best possible outcome for creditors throughout the ongoing sale process. That was the core of the mandate.

Upon completion of the transaction following antitrust clearance, full entrepreneurial responsibility will transfer to Orlando Capital, and Troesser & Co.’s CRO mandate will end at that point. Business operations will continue without restriction at both locations, while ongoing customer and supplier relationships as well as the workforce will remain unchanged.
